About the Role
Caribbean Airlines Limited is seeking a highly experienced and meticulous Corporate Secretary to join our team on a twenty-four (24) month contract basis. This is a senior-level role based at our Piarco headquarters, reporting directly to the Board of Directors. You will serve as the principal administrative and procedural advisor to the Board, ensuring that our State Enterprise operates in full compliance with all statutory, regulatory, and governance requirements under the laws of Trinidad & Tobago. This position also involves supervising a Paralegal and plays a critical part in maintaining our corporate governance framework. Key Deliverables
In this role, you will take ownership of a wide range of governance and secretariat responsibilities, including:
- Ensuring the company and its Board operate in full compliance with the Companies Act (T&T), along with all other statutory and regulatory requirements
- Serving as the principal advisor to the Board on governance, compliance, and fiduciary duties — providing expert guidance and practical support
- Managing and coordinating all Board and Committee meetings, including preparing and circulating comprehensive agendas, documentation, and resolutions in a timely manner
- Drafting precise, legally sound minutes that accurately capture Board deliberations and decisions
- Maintaining 100% compliance with statutory filing deadlines — including annual returns, director changes, and other regulatory submissions
- Safeguarding and maintaining accurate corporate records, statutory books, and registers
- Tracking Board action items and resolutions to ensure timely closure, with regular updates to the Board and relevant stakeholders
- Coordinating the Board's annual governance calendar, including director evaluations, training sessions, and strategic planning meetings
- Acting as a key liaison between the Board, management, and shareholders (where applicable) to facilitate effective communication and Board relations
- Monitoring legislative and regulatory changes relevant to the company and aviation industry — advising the Board on potential impacts and necessary adjustments
- Assisting in the development and review of Corporate Governance policies, charters, and procedures, aligned with best practices and the State Enterprise Performance Monitoring Manual (SEPMM)
- Overseeing and supporting the Paralegal in their duties to ensure smooth departmental operations
- Working to minimise or eliminate audit findings related to governance through diligent oversight and proactive compliance
- Managing sensitive information with the highest level of integrity and discretion
Qualifications and Experience
To be considered for this contract position, you should have:
Education:
- Bachelor's Degree in Law, Business Administration, Corporate Governance, Public Administration, or a related field
- A professional qualification such as Chartered Governance Professional (CGI/ICSA) is a definite asset
- Being an Attorney-at-Law admitted to practice in Trinidad & Tobago is highly advantageous
Experience:
- A minimum of 7 to 10 years of progressive experience in corporate secretariat, legal, compliance, or governance functions
- Demonstrated experience working effectively with Boards of Directors
- Experience in a State Enterprise, statutory body, or similarly regulated environment
- Proven knowledge of public sector governance frameworks, including SEPMM

Important Details
This position is based in Trinidad. The successful candidate must be legally authorised to work in Trinidad & Tobago.
